What types of business entities can a foreigner form in Panama?

Foreigners can form several types of business entities in Panama: the Sociedad Anónima (S.A.) or Corporation, which is the most popular and flexible structure with no foreign ownership restrictions; the Sociedad de Responsabilidad Limitada (S.R.L.) or LLC, suitable for smaller operations with up to 25 partners; a Branch Office of a foreign company, which allows an existing foreign entity to operate in Panama; a Sole Proprietorship, though this exposes the owner to unlimited personal liability; and a Private Interest Foundation, primarily used for asset holding and estate planning rather than commercial operations. The S.A. is recommended for most international investors.

Registering a company in Panama typically takes 5 to 10 business days from the submission of the Articles of Incorporation to the Public Registry. If the company will operate commercially within Panama, a Notice of Operations (Aviso de Operaciones) from MICI can be obtained in 24-48 hours through the Panama Emprende online platform. The Tax ID (RUC) from the DGI is processed simultaneously. In total, a company can be fully operational within approximately two to three weeks.
