Foreigners can form several types of business entities in Panama: the Sociedad Anónima (S.A.) or Corporation, which is the most popular and flexible structure with no foreign ownership restrictions; the Sociedad de Responsabilidad Limitada (S.R.L.) or LLC, suitable for smaller operations with up to 25 partners; a Branch Office of a foreign company, which allows an existing foreign entity to operate in Panama; a Sole Proprietorship, though this exposes the owner to unlimited personal liability; and a Private Interest Foundation, primarily used for asset holding and estate planning rather than commercial operations.
