What is the SMV and what does it regulate?

The SMV (Superintendencia del Mercado de Valores) is Panama’s securities market regulator, established by Law 67 of 2011. Its functions include: registering and authorizing public securities offerings, supervising broker-dealers, investment managers, and investment advisors, regulating the operations of the Panama Stock Exchange (BVP), protecting investors against fraudulent practices, establishing corporate governance standards for registered issuers, and sanctioning violations of securities law. To conduct a public offering of securities in Panama, the following is required: prior registration of the issuance with the SMV, preparation of an information prospectus with complete details about the issuer and the securities being offered, audited financial statements by an independent audit firm registered with the SMV, a credit rating from an authorized rating agency, appointment of a paying and transfer agent, and compliance with the SMV’s corporate governance standards.
