Ultimate Beneficial Owner Registry (RUBF) in Panama: What It Is and How to Comply

If you own or control a Panamanian company, there is a compliance obligation you cannot overlook: the Ultimate Beneficial Owner Registry (RUBF). Created to strengthen transparency and the fight against money laundering, this registry requires identifying the individuals who ultimately own or control each legal entity. Non-compliance has real consequences, including the suspension of your company’s corporate rights. This guide explains what it is, who must register, the deadlines, and how to comply without penalties.

What Is the RUBF?

The Ultimate Beneficial Owner Registry was created by Law 129 of March 17, 2020, and is administered by the Superintendency of Non-Financial Subjects (SSNF). It is a private and confidential system — not publicly accessible — that records the identity of the beneficial owner of each legal entity incorporated in Panama. The “beneficial owner” is the individual who, directly or indirectly, owns or controls the entity. The goal is to align Panama with international standards of transparency and anti-money-laundering prevention.

Who Must Register?

The obligation applies to corporations (S.A.), limited liability companies, private interest foundations, and other Panamanian legal entities. In practice, the registration is carried out by the Resident Agent (the entity’s attorney or law firm), based on the information the company is required to provide. This is why your Resident Agent is a key part of compliance.

What Information Is Registered?

  • Full name, identity document, and nationality of the beneficial owner.
  • The date on which the person became a beneficial owner.
  • Data that allows determining effective control or ownership over the entity.

Deadlines You Should Know

The entity is required to provide its Resident Agent with the information and any change of beneficial owner within a maximum of fifteen (15) business days following the date of the change. Keeping this information up to date is as important as the initial registration: any change in the ownership structure must be reported within that period.

Penalties for Non-Compliance

Law 129 authorizes the SSNF to order the Public Registry of Panama to suspend the corporate rights of an entity that is not properly registered or updated. A company with suspended rights cannot carry out corporate acts or operate normally, and reactivation requires curing the non-compliance. Fines may also apply. Timely compliance protects both the entity and its owners.

Frequently Asked Questions

Is the RUBF publicly accessible?

No. It is a private and confidential registry administered by the SSNF; the information is only accessible to competent authorities in the course of their duties, not to the general public.

Who files the information — the company or the Resident Agent?

The Resident Agent performs the registration, but the company is legally required to provide the information and report any change within 15 business days.

What happens if I do not register?

The SSNF can order the Public Registry to suspend the company’s corporate rights, preventing normal operation until the non-compliance is cured; fines may also apply.

Do offshore companies also need to register?

Yes. The obligation applies to Panamanian legal entities in general, including those that operate exclusively outside the country.
